The Amin Law Group, Ltd., is a dynamic, full service law firm committed to obtaining the best possible results for our clients. Family Law (Limited to California only)

The Firm provides assistance in every area of family law. We guide our clients through divorce, child custody and child support, spousal support, division of property as well as prenuptial and post-nuptial agreements.

Environmental

As our climate changes and companies throughout the world face increasing pressure to meet emissions reduction standards and to pursue climate change initiatives, we understand the necessity of proper advice and guidance relating to critical disclosure issues surrounding climate change risk and related matters.

Arbitration

When it comes to dispute resolution, we analyze issues and draft mediation and arbitration clauses in joint venture and other financial and commercial agreements. From the inception of your business to exit planning, we will guide you through the complexity of the Internal Revenue Code and will formulate a plan that will minimize your tax liability to the fullest extent of the law. We will meet with your accountants and financial planners in order to prepare a long-term tax strategy.

Our estate planning practice group handles small, medium to large estates. Our services include – Trust planning, creating private foundations, family business transitions, creation of joint ventures, family partnerships and property holding vehicles.

Tax

Our securities practice is expansive and includes corporate structuring, governance and executive compensation advice; Regulatory compliance; Private Placement Memorandum and Prospectus preparation; Private placements; Spin-off transactions & Rule 144A offerings. We’ve assisted our entrepreneur clients in capital raising via debt offerings or convertible interest(s).

Restructuring and Bankruptcy

We have assisted our clients re-structure commercial debts, buy and sell distressed businesses, protect their rights during counterparty bankruptcies, establish best practices for corporate governance in the zone of insolvency, and preserve value while changing capital structures.

In light of the pervasive nature of the bankruptcy process, our attorneys assist insolvent clients through a myriad of issues, including leasehold interest negotiation, executor contract acceptance or rejection and the resolution of administrative issues.

Mergers & Acquisitions

With respect to mergers and acquisitions, our firm has served as counsel in a multitude of transactions throughout California, Nevada and Texas. Collectively, we’ve counseled our clients through the sale or acquisition of assets, valued at over Six Hundred Million Dollars ($600,000,000.00). We’ve represented targets and acquirers alike in a wide array of industries, including, healthcare, real estate & intellectual property.

Aviation

The Firm serves clients in the commercial and general aviation industry in the United States. As the firm’s founder is a pilot himself, we have a unique appreciation for the needs of the aviation community – from operators, pilots, mechanical providers, subcontractors and insurers. We assist our clients with Federal Aviation Administration regulatory matters pertaining to aviation professionals and the flying public.

Litigation

Our philosophy is that most disputes can be settled amicably and without costly and unpredictable litigation. However, when litigation is necessary, we utilize an aggressive approach in prosecuting or defending our clients.

We represent a multitude of businesses and individuals, in state and federal litigation throughout California, Nevada and Texas. We have extensive litigation experience and have represented clientele in a multitude of fields including, business, commercial, finance, healthcare, intellectual property, real estate, shareholder and employment disputes.

Financial Institutions/Credit Transactions

We presently serve as counsel to several large financial institutions throughout California, Nevada and Texas. We advise a range of borrowers, principals, sponsors and lenders in credit and leveraged finance transactions, bringing a breadth of perspective and practical experience to our representation of manufacturing, technology, energy, telecommunications and service companies as borrowers, and investment, and financial institutions as borrowers and lenders, as well as lending syndicates, agents and underwriters, financial advisers and investors.

Corporate Governance

Selecting and forming the appropriate business entity involves carefully listening to the needs of our clients. We form entities based upon our client's particular business goals, while minimizing tax liability.

Our firm represents both large publicly traded clients and smaller privately held entities. We counsel our clients from every stage of the transaction - from entity selection and formation to spin-off or dissolution. Likewise, we prepare private placement memoranda and assist our clients with all of their respective M&A scenarios.

Gaming

The firm is proud of its reputation in the area of gaming law. In particular, the firm has developed an expertise in navigating its clients through the complex myriad of gaming regulatory schemes in the state of Nevada. Our goal is to ensure that our clients meet and exceed the licensing requirements of the Nevada Gaming Commission (NGC) and State Gaming Control Board. We have drafted a multitude of gaming opinion letters for our larger developer(s) and casino owner/operator(s) clientele. We have also counseled our higher profile clients through the NGC licensing and hearing process.

Healthcare and Life Sciences

We serve as general counsel to a portfolio of healthcare clients, including Hospitals, Skilled Nursing Facilities, Residential Care Facilities for the Elderly, Hospice & Home Health Agencies, Intermediate Care Facilities.

Additionally, we serve as counsel to various physicians' groups and medical providers throughout California and Southern Nevada.

Labor and Employment Disputes

Our employment law experience includes representing high-tech and software companies where the protection of intellectual property and proprietary information is paramount.

We also represent employers in all employment law matters. We counsel employers to ensure compliance with all federal and state employment laws, rules and regulations. We prepare employee handbooks and internal policies to effectuate full compliance with all statutory schemes - while protecting our business clients.

Intellectual Property and Technology

In business, your identity or branding defines your success. For any business or entrepreneur protecting your intellectual property should be priority number one. We regularly guide our clients through all of their "soft" intellectual property needs.

We have successfully registered hundreds of trademarks with the United States Patent & Trademark Office (USPTO). Additionally, we have counseled clients through all aspects of the Madrid Protocol Treaty.

Real Estate

We represent businesses and individuals in all types of real property lawsuits. In particular, our experience includes partition actions and lis pendens actions throughout the California and Nevada Courts. Moreover, as litigators, our firm has experience in complex developer defense matters.
