As a multi-jurisdictional practitioner, Ismail Amin, has a wide array of experience serving clients in a multitude of practice areas, which often overlap and become interrelated. In particular, Ismail focuses his practice in the fields of Business Planning & Litigation, Health Care Provider Representation, Appellate Practice, Real Estate Transactions, Gaming Law & Intellectual Property.
Ismail´s legal experience encompasses serving larger Fortune Five Hundred companies, mid-sized privately held companies and entrepreneurs. Ismail presently serves as corporate counsel to small to mid-sized businesses throughout California and Nevada. In particular, Ismail serves as general counsel to skilled nursing facilities, residential care facilities, hospitals and clinics in both California and Nevada. Ismail regularly counsels his health-care provider clientele through the complex myriad of state and federal laws and regulations. Additionally, Ismail has counseled the firm's health care provider clients in acquiring or selling assets, while maximizing return and minimizing risk. Ismail has assisted clients acquire or sell over forty million dollars ($40,000,000.00) worth of skilled nursing facility or other health care related assets.
Likewise, Ismail counsels clients in general business planning transactions, including entity formation/selection, mergers & acquisitions, securities and tax planning. Furthermore, Ismail has assisted publicly traded companies with Nevada Gaming Commission compliance and acquisition(s) of appropriate gaming licensure within the state of Nevada.
With respect to real estate experience, as a licensed real estate broker, Ismail brings unique insight, perspective and experience to any real estate deal. He understands the needs and objectives of businesses and entrepreneurs. Ismail has counseled developers, contractors and financiers throughout many acquisitions and financings of real estate. In particular, he has extensive experience in commercial and residential property acquisitions, defeasance financing transactions, IRC 1031 exchanges, subdivisions, construction and real estate litigation mattes. He has represented lenders, mortgage brokers, real estate investment trusts, landlords and tenants in all aspects of the deal.
Finally, Ismail regularly counsels clients in various Intellectual Property issues. In particular, he has guided his clientele through the federal trademark registration process, including all aspects of Madrid Protocol Filings. He also regularly prepares intellectual property licensing agreements for high profile clientele.
Ismail graduated from the University of California, Irvine, earning a double major bachelor of arts in the disciplines of Political Science and International Relations. Thereafter, Ismail earned a Juris Doctorate from Pepperdine University, School of Law wherein he received the American Jurisprudence Award for Real Estate Finance. During his tenure at Pepperdine, Ismail served as Executive Chair within the Center for Entrepreneurship and Technology Law (CETL) and served as a Judicial Extern to the Honorable Arthur M. Greenwald (United States Bankruptcy Court, Central District of California).
Ismail is admitted to practice law in California and Nevada. Ismail is also licensed by the California Department of Real Estate, as a real estate broker. Finally, Ismail presently serves on the Publications Committee for the State Bar of Nevada.
