MAJOR TRANSACTIONS
Served as corporate counsel to a consortium of buyers in order to facilitate the successful acquisition of fifteen (15) skilled nursing facilities on behalf of five (5) privately held corporations. The total dollar value of said acquisitions was over twelve million dollars ($12,000,000.00). In re Pleasant Care Corporation;
Served as gaming counsel to a publicly traded joint venture entity for the development and licensing of a casino/condominium/hotel project in Las Vegas, Nevada. The total dollar value of the transaction was over five hundred million dollars ($500,000,000.00);
Presently serves as corporate counsel to a large privately held finance company. The firm has assisted our client with the lending and distribution of a forty million dollar ($40,000,000.00) lending portfolio across five (5) different states. Moreover, the firm assists the client with all regulatory compliance protocol and regularly prepares a multitude of sophisticated instruments to ensure seamless lending transactions;
Presently serves as corporate counsel to several high profile physicians groups, surgeons and skilled nursing facilities throughout California & Nevada.
LITIGATION MATTERS
California:
*Real Estate - Publicly Traded Bank sought $1,300,000.00 in damages from private developer arising from a large commercial development in Southern California. The firm’s client was the developer defendant; Result: $35,000.00 monetary settlement in exchange for a full release of all claims against the firm’s developer client.
Real Estate – Desert Sky’s Five, LLC v. MGM Development, LLC, et. al.; Plaintiff brought suit against Defendant LLC and its principals, alleging breach of contract, fraud and alter ego. The damages sought by the Plaintiff exceeded $2,000,000.00, including attorneys’ fees. Result: The firm obtained a defense verdict in favor of one of the LLC defendant’s principals.
Real Estate – Rogers v. Conlan, et. al.; Plaintiff architect brought suit against defendant and defendant’s mother for breach of contract and fraudulent conveyance causes of action (amongst others) arising out of construction project gone awry. Result: The firm obtained a dismissal of its client.
*Health Care - Large insurance plaintiff sought over $500,000.00 in damages against multiple skilled nursing facility (“SNF”) clients. The insurer obtained default judgments against the SNF defendants. Result: The firm was retained as defense counsel and successfully moved the Court to relieve the SNF defendants from default. Thereafter, the Plaintiff agreed to settle for a sum of $15,000.00 in exchange for a full dismissal against the firm’s SNF clients.
*Health Care – A large therapy company brought suit against the firm’s skilled nursing facility (“SNF”) client for over $900,000.00, for alleged breach of contract and fraud allegations (including alter ego allegations against the SNF’s principals). Result: As a result of utilizing aggressive discovery techniques, the firm negotiated and obtained a monetary settlement at thirty percent (30%) of the purported damages alleged by Plaintiff.
*Health Care – a publicly traded vendor brought suit against the firm’s skilled nursing facility (“SNF”) client for over $750,000.00, for alleged breach of contract allegations against the SNF client. Result: As a result of filing client’s motion for summary adjudication, the vendor plaintiff settled for less than ten percent (10%) of the damages alleged.
*Health Care – A shareholder dispute arising from the sale of a home health agency. Plaintiff, buyer, brought suit against the seller (and its principal) and refused to pay the remaining amounts due to seller. Result: As a result of the firm’s successful demurrer, the Plaintiff dismissed all claims against the seller and agreed to pay the remaining purchase price in order to consummate the transaction.
Employment - Cook v. Emeryfed, et. al.; Clients were employer defendants (including the employer’s principals) which were named as defendants in a wrongful termination employment matter. The Plaintiff alleged numerous claims against his former employer and the employer’s principals. Result: The Court granted employer’s Motion for Summary Judgment as to all claims and all defendants.
*Entertainment/Breach of Contract - Clients were producers and developers of a motion picture who pursued remedies against former director in private arbitration, arising out breach of certain contracts. Result: The arbitrator ruled in favor of producers/developers and awarded attorneys’ fees.
*Family Law- Assisted numerous clients find mutually satisfying resolutions outside of court in divorce and a range of family law issues including custody disputes and child support/spousal support issues. Assisted client reach favorable settlement involving a full range of valuable and complex assets, including family businesses and investment interests.
Nevada:
*Employment Litigation - Client was a limited liability company (“LLC”) defendant, in a high profile employment law dispute involving a publicly traded casino/resort in Las Vegas. The LLC was named as a defendant by numerous Plaintiffs for conversion based allegations. Result: The Court granted the LLC’s motion to dismiss, resulting in a dismissal of claims against the firm’s LLC client.
Commercial/Trade Secret Litigation – Little Caesar’s Enterprises v. Grab n’ Go, et. al.; Client was a small pizza franchisee, which was sued by a publicly traded corporation for trade secret allegations. Result: Dismissal of all claims against the firm’s franchisee client.
*Commercial Litigation – Client was the Plaintiff involved in an intra-partner dispute arising from the operation of multiple restaurants in Las Vegas. Result: Large settlement in favor of the firm’s client, resulting in large monetary sum to the client.
Commercial Litigation – Quality Financial, Inc. v. Mahban; Client was a large finance company that was forced to bring an action to redress injuries for fraud against a car dealership and its principal. Result: The Court granted Plaintiff’s Motion for Summary Judgment and entered judgment in favor of client.
Real Estate Finance – Babuski LLC, Jamal Jwaidi, et al vs Custom Mortgage Solutions LLC, Plaintiff developer sued bank and loan officer for fraud and sought specific performance of credit-facility. The firm was retained to represent the loan broker defendants. Result: The firm successfully defeated Plaintiff’s motion for preliminary injunction resulting in dismissal of all claims against firm’s broker client.
*Employment – Client was sued by a large Southern Nevada pest extermination company for breach of employment agreement; The firm successfully defeated Plaintiff’s motion for preliminary injunction and obtained a non-monetary settlement in favor of the employee defendant.
